Paralegal

We are looking for a Paralegal to join our legal team in Rotterdam. This role is vital in our corporate operations, focusing on providing administrative support and supporting the legal functions related to the Assistant General Counsels and Deputy Company Secretary. You will maintain the digital corporate secretary tool and ensure that corporate registration and documentation are up to date and accurate for over 243 entities in 40+ countries. The role also involves liaison with notaries, assisting corporate restructuring projects, managing corporate accounts for Dutch entities, ownership of administrative processes, and handle document legalization.

As a Paralegal at the Rotterdam office, your day-to-day duties will encompass organizing and maintaining the digital corporate secretary tool, to update and inform the group about the corporate structure and to provide service and legal support to all divisions of the Stolt-Nielsen group.

You will be entrusted with securing corporate registration and documentation accuracy, supporting the Legal and Governance teams and wider SNL by gathering and preparing necessary corporate documents for legal processing. A significant part of your role will involve being the point of contact with the notary in Rotterdam, accompanying colleagues when necessary, and instructing them on set-up or amendments for legal entities and legalization of documents. Additionally, your tasks will include managing content on the intranet, assisting KYC queries, handling corporate accounts for entities like Stolt Tankers, assisting the entire process of vessel purchase and sale transactions. You will work closely with colleagues across divisions, providing valuable assistance with corporate projects and regularly working with senior management, notaries, and external law firms. The role offers exposure to international corporate law dynamics within a global organization, demanding excellent organizational skills and attention to detail.

• Be the contact person for notaries in Rotterdam: this mean making appointments, accompanying colleagues to have signatures legalized, providing notary with relevant documents to process Counsel’s instructions.

• Administrator of Diligent, the digital corporate secretary, maintaining its contents.

• Assist with activities related to purchasing or selling vessels: maintain dedicated SharePoint site, prepare, send out, chase for documents (AoA, cert of goodstanding, MoA, MoU, LoU’s, PoA, Shareholders & Board Resolutions, Bill of Sale, Protocol of Delivery and Acceptance, contracts, class reports, etc.)

• Assist with corporate restructuring projects involving Dutch and other Stolt companies.

• At least three years of experience as a paralegal or in a similar field, preferably within the corporate practice area of a multinational organization, law firm, notary or comparable environment.

• Excellent command of English and Dutch languages, both spoken and in writing.

• Working experience in liaising with Notaries and knowledge of Diligent entities.

• Effective communication skills, ability to interact with senior management.

• Ability to be detail-oriented and highly organized.

• Ability to work independently and under time constraints and prioritize work.
